Sintonia S.A. informs that on November 25, 2010 it executed a capital increase for a total amount of Euro 307.5 mln.

The capital increase, which was subscribed for Euro 24.5 mln by Mediobanca S.p.A. and for Euro 283.0 mln by Elmbridge Investment Pte. Ltd. (a subsidiary of GIC – Government of Singapore Investment Corporation), was resolved by the Board of Directors of Sintonia S.A. in order to finance the recent purchase of 3.22% of the share capital of Atlantia S.p.A., executed on November 5, 2010, which increased the participation of Sintonia S.A. in Atlantia S.p.A. to 42.25%.

The financing of such purchase through a dedicated capital increase is consistent with the long term investment strategy of Sintonia S.A. in Atlantia S.p.A.

As a result of this capital increase, from November 25, 2010 the shareholding of Sintonia S.A. is the following:

Elmbridge Investment Pte. Ltd. 6.99%
Sinatra S.àr.l. (Goldman Sachs I.P.) 11.27%
Mediobanca S.p.A. 6.72%

In addition, the Board of Directors of Sintonia S.A. has the power to resolve further capital increases reserved to Elmbridge Investment Pte. Ltd. for a total amount of Euro 566.8 mln (the capital increases reserved to the other shareholders have already been fully executed).

Once completed the above mentioned additional capital increases reserved to Elmbridge Investment Pte. Ltd., the resulting shareholding of Sintonia S.A. will be the following:
