Synopsis: This MNKS breakfast will focus on the key-issues arising when negotiating and drafting share or asset purchase agreements that are subject to one or several conditions precedent and/or subsequent. We will discuss how to suitably draft conditions precedent and subsequent in order to avoid their typical pitfalls. We will summarise the main legal effects of such conditions and describe their impact on the management of the target between signing and closing, as well as their potential impact on the representations and warranties of the Seller.
